TERMS OF SERVICE

1) General
The supplier of the service is Red Zonk IT Solutions Ltd., registered in England and Wales No. 06746487 , trading as DediExperts. These conditions, hereafter referred to as TOS, shall apply to the contract between DediExperts, hereafter referred to as Supplier, and the Customer for the provision of Dedicated Hosting Services. In case of any inconsistent terms or conditions submitted by the Customer or implied by law, trade custom, practice or course of dealing TOS shall prevail. Accepting TOS of DediExperts means also the acceptance of TOS of OVH, which are laid out at - OVH TOS for Dadicated Servers (English)
2) About dedicated server
a) Supplier is the sole owner of dedicated servers at all times. The customer cannot sell, transfer, lease, charge, assign by way of security or otherwise deal in or encumber the Dedicated Server.
b) The email from DediExperts, granting the customer access to his product, shall mean that the customer may assume the ownership of the server for the period of time he/she has paid for.
c) In case of any security failure being noticed the customer shall be informed by the supplier about the availability of software upgrades. If such upgrades are not carried out by the customers after the notification, the supplier shall be entitled to disconnect the dedicated server.
d) Customers agree that their personal data is stored in supplier’s database.
e) Supplier reserves the right to ask for identity proof. Accepted documents are the following: passport, driving licence, identity documents, utility bills, phone bills, credit/ debit cards etc.
3) Supplier’s obligations:
a) The supplier will endeavour to provide the customer with the best dedicated hosting services.
b) The supplier will provide hardware and software necessary for the dedicated hosting services.
c) Any disruptions of the dedicated hosting services, which are not resulted from any breach by the customer, are rectified as soon as possible following the request of the customer.
d) Supplier shall give the customer access to the dedicated server via internet 24 hours a day, 365 days a year on the basis of the level of activity on the Website specified in the Order. If the level of activity on the Website exceeds that specified in the Order, additional fees for an increased bandwidth shall be charged.
e) In case of any maintenance, repair or upgrade requiring dedicated hosting services to be suspended, the customer shall be notified by the supplier.
f) Supplier provides support limited to the billing department. Technical department shall deal with general questions regarding our products and services and malfunctions not caused by the customer
g) The supplier shall provide the customer with the interface to manage their products and services and the interface to enabling contact with our helpdesk.
h) Supplier shall contact the customer via email.
i) DediExperts reserves the right to check the orders after they are completed. When the order is marked as a high risk transaction, the supplier may still cancel a given order. A customer will be given a refund.
4) Supplier’s liability:
a) Supplier shall not be liable for any malfunction or failure on the dedicated server.
b) The supplier shall not be liable for any fault or negligence of a third party, in particular for any unauthorised access to the Website or the Content.
c) Supplier shall not be liable for any act of piracy, viruses, worms, trojan horses or other harmful codes that affect or may affect the Dedicated Server, the Website or the provision of the Dedicated Hosting Services.
d) The supplier shall not be liable for any security breaches in connection with the Dedicated Hosting Service.
e) The suppler shall not be liable for any loss of the website or its content.
f) The supplier shall not be liable for downtime caused by maintenance, repair or upgrade to the Dedicated Hosting Services, provided that the supplier notifies the customer of the expected duration of the restriction or suspension of the server and shall endeavour to resume the Dedicated Hosting Services as soon as practically possible.
g) The supplier shall not be liable for any interruption or failure of the Dedicated Hosting Services due to any variation of the bandwidth or any failure of the Supplier’s internet service provider.
h) When a malfunction caused by the customer is detected it is up to the customer to fix a given malfunction.
i) The Supplier shall not be responsible for the customer’s failure to upload the Content correctly, and shall not be responsible for providing support in relation to the control and operation of the web content.
5) Customer’s obligations :
a) Customer shall be responsible for any damages made to the product and services purchased from DediExperts.
b) Customer is responsible for the data placed on his/her server.
c) Data stored on our servers should be regularly saved by customers as backups.
d) The customer is responsible for protecting his/her server from any kind of attack. If the customer doesn’t protect his/her server effectively the supplier may terminate the contract without compensation.
e) The customer is responsible for uploading the Content onto the Server and checking that it functions effectively.
f) The customer is responsible for ensuring that the Content, any material linked to the Website and any activity carried out via the Website do not breach the rights of any third parties including any intellectual property rights.
g) The customer should ensure that the material on the website doesn’t contain viruses or any other harmful code.
h) The customer is required to notify the supplier of any changes to his/her contact details.
6) Payment
a) All payments are required in advance. The order may only be processed if the payment has been received.
b) If the supplier doesn’t receive payment when the payment is due, DediExperts reserves the right to suspend or terminate the service.
c) If the level of activity on the Website exceeds that specified in the order, the customer shall be charged additional fee.
d) Even after the payment has been processed, the supplier reserves the right to suspend or cancel the order with or without explanation. The customer shall be given his/her money back.
e) No compensation shall be given to a customer who breaches TOS, and all hosting services provided to a given customer shall be terminated immediately.
f) There shall no be compensation when the customer terminates the contract.
7) Termination of the contract
a) The customer may terminate the contract anytime providing that he/she gives the supplier seven days notice. However, no compensation will be given for the period that has already been paid.
b) When the contract is due to run out, the supplier shall send customer 3 reminders on the following dates:
1st reminder 14 days before Expiry Date;
2nd reminder 7 days before Expiry Date;
3rd reminder 1 day before Expiry Date;
c) If the payment is not received by due date, the server shall be shut down and the data stored on a given server will be recoverable within the next 24 hors. After that, the server shall be cleared and resold.
d) The supplier shall be entitled to suspend or terminate the server hosting services anytime with or without notifying about the reason.
e) When fraud is commited all the servers in the possesion of a person who had commited fraud, will be blocked immediately, with or without notifying the customer.
f) The server hosting services will not renew until the outstanding balance is cleared in full.
8) Updates
DediExperts reserves the right to change the content of TOS anytime without any notification. Changes to the TOS will be effective immediately.
